Terms & Conditions

1. Acceptance of terms

These Terms & Conditions ("Terms") form a binding agreement between you and Brightnous IT Services Pvt. Ltd. governing your access to and use of engagepro.brightnous.com and whatsappengagepro.com, our dashboard, APIs, and any related services (together, the "Service"). If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.

2. Description of service

EngagePro is a multi-tenant platform that allows Tenants to connect a WhatsApp Business Account and use tools to manage leads, conversation flows, message templates, broadcasts, and optional AI-assisted replies. Features available to a Tenant depend on their selected subscription plan.

3. Eligibility & accounts

You must be legally capable of entering into a binding agreement to use the Service. You are responsible for providing accurate registration information and for maintaining the confidentiality of your account credentials. You are responsible for all activity that occurs under your account, including actions taken by team members you invite to your workspace.

4. WhatsApp & Meta compliance

Use of WhatsApp through EngagePro is governed by Meta's WhatsApp Business Terms and Policies, in addition to these Terms. You are solely responsible for ensuring you have the necessary rights and opt-in consent from your Contacts before messaging them, in line with WhatsApp's Business Messaging Policy and applicable law. EngagePro may suspend or restrict messaging features for any Tenant whose use violates Meta's policies, since such violations can affect the shared messaging infrastructure and other Tenants.

5. Free trial

Eligible new customers may receive a free trial period to evaluate the Service. No payment is required during the trial. After the trial ends, continued access to the Service requires an active paid subscription. EngagePro may modify, limit, or discontinue trial offers at any time.

6. Subscriptions & billing

EngagePro offers subscription plans with different features, message-usage pricing, and billing periods. The plan and billing cycle you select at signup or upgrade determines the price charged. Payments are processed through our payment partner, Razorpay. Subscription fees are billed in advance for each billing period, and message-usage charges (where applicable) may be billed based on actual usage.

7. Cancellation

You may cancel your subscription at any time from your account settings, or by contacting us. Cancellation stops future renewal charges but does not entitle you to a refund for the current paid billing period — see our Refund Policy for details.

8. Acceptable use

You agree not to use the Service to:

• Send unsolicited, spam, or non-consensual messages to any Contact.
• Violate any applicable law, regulation, or third-party right, including WhatsApp's and Meta's policies.
• Attempt unauthorized access to the Service, other Tenants' data, or our infrastructure.
• Transmit malicious code, or interfere with or disrupt the integrity or performance of the Service.
• Use the Service for any unlawful, fraudulent, harassing, or abusive purpose.

We may suspend or terminate accounts that violate this section, with or without notice, depending on severity.

9. Intellectual property

EngagePro's software, branding, interface, designs, documentation, and related intellectual property remain the property of Brightnous IT Services Pvt. Ltd. or its licensors. Nothing in these Terms grants you any ownership rights in the Service. You retain ownership of the business information, Contact data, message content, and knowledge-base documents you upload or create through the Service.

10. Your data

Our collection, use, and protection of data is described in our Privacy Policy, which forms part of these Terms. As between you and EngagePro, you are the data controller for the Contact data you upload or message through your workspace, and EngagePro acts as a data processor / service provider on your behalf for that data.

11. Service availability

We aim to provide reliable, continuous access to the Service but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable for maintenance, upgrades, or due to factors outside our control, including outages of WhatsApp/Meta's platform or our infrastructure providers.

12. Limitation of liability

To the maximum extent permitted by applicable law, Brightnous IT Services Pvt. Ltd. will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or business opportunities, arising from your use of or inability to use the Service, even if advised of the possibility of such damages. Our total liability arising from these Terms or the Service will not exceed the amount you paid us in the twelve (12) months preceding the claim.

13. Indemnification

You agree to indemnify and hold Brightnous IT Services Pvt. Ltd. harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your Contact data, your messaging practices, or your violation of these Terms, WhatsApp's policies, or applicable law.

14. Termination

You may terminate your account at any time. We may suspend or terminate your access to the Service if you breach these Terms, fail to pay applicable fees, or engage in conduct that we reasonably believe harms the Service, other Tenants, or third parties. Upon termination, your right to use the Service ceases, and we may delete or anonymize your data in line with our data retention practices described in the Privacy Policy.

15. Changes to these terms

We may update these Terms from time to time. Material changes will be notified via the dashboard or by email, and the "Last updated" date above will reflect the latest revision. Continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.

16. Governing law

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Any disputes arising from these Terms or the Service will be subject to the exclusive jurisdiction of the courts located in Hyderabad, Telangana, India.
